By accessing or using the FullStackCloser.ai website, purchasing consulting packages, or engaging our AI agent deployment services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and FullStackCloser.ai ("Company," "we," "us," or "our"). The Services are intended for business use by companies and professionals ("B2B"). By using the Services, you represent that you have the authority to bind your organization to these Terms.
FullStackCloser.ai provides the following categories of services:
The specific scope, deliverables, and timeline for any engagement will be defined in a Statement of Work ("SOW") or package description agreed upon before work commences.
All consulting and AI agent engagements begin with a discovery call booked through our scheduling system. No work is guaranteed or commenced until a SOW or package purchase is completed and payment is received. We reserve the right to decline any engagement at our discretion.
All prices are listed in US Dollars (USD) and are subject to change without notice. Payment is processed through Stripe. By providing payment information, you authorize us to charge the applicable fees.
Due to the nature of consulting and custom AI agent work, refunds are handled on a case-by-case basis. If you are unsatisfied with deliverables, contact us within 14 days of delivery to discuss resolution. We are committed to making it right -- whether through revisions, credits, or partial refunds as appropriate.
Community membership fees are non-refundable for the current billing period but will not be charged for future periods after cancellation.
Client Ownership: Upon full payment, you own the deliverables created specifically for your engagement, including custom AI agent configurations, process documentation, and strategy materials created for your business.
Company Ownership: We retain ownership of our proprietary methodologies, frameworks, templates, tools, and any pre-existing intellectual property used in delivering the Services. This includes our general knowledge, techniques, and reusable components that are not specific to your business.
Open-Source Components: AI agents built on OpenClaw and other open-source frameworks are subject to their respective open-source licenses. We will clearly identify any open-source components used in your deployment.
When engaging our AI agent deployment services, the following additional terms apply:
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, financial data, customer lists, AI agent configurations, and any information marked as confidential. Confidentiality obligations survive the termination of the engagement for a period of two (2) years.
To the maximum extent permitted by law, FullStackCloser.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use of the Services.
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or that AI agents will achieve specific results. We make no representations about the accuracy, reliability, or completeness of any AI-generated content or outputs.
You agree to indemnify and hold harmless FullStackCloser.ai, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you provide to us for use in AI agent deployments.
Either party may terminate a consulting engagement with 30 days' written notice, unless otherwise specified in a SOW. We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to make timely payments, or engage in conduct that we reasonably believe is harmful to our business or other clients.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active clients.
